JEKASOFTWARE.COM WEBSITE TERMS OF USE

The website located at https://www.jekasoftware.com, together with its subdomains and any pages we operate under the jekasoftware.com domain (the "Site"), is owned and operated by JEKA Software, Inc., a Delaware corporation ("JEKA," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Site. By accessing or using the Site you agree to these Terms on behalf of yourself or the entity you represent, and you confirm that you have the authority to do so. You must be at least 18 years old to use the Site. If you do not agree to these Terms, please do not use the Site. Certain features of the Site may be subject to additional guidelines or rules posted on the Site, which are incorporated into these Terms by reference.

1. Scope; the MyWatchtower Platform Is Governed Separately

These Terms govern only the Site — JEKA's informational and marketing website. They do not govern the MyWatchtower platform, including its web application, entry kiosks, cameras, mobile applications, or MyWatchtower Live Assist (collectively, the "Platform"). Your use of the Platform is governed by the MyWatchtower Terms of Service & EULA and the MyWatchtower Disclaimer, and if there is any conflict between these Terms and those documents with respect to the Platform, those documents control. JEKA provides visitor management, entry processing, and access-control software; as stated in the MyWatchtower Disclaimer, JEKA is a technology provider and is not a security, guard, or protection service, and nothing on the Site — no product name, service name, or marketing description — creates any such undertaking.

2. License to Use the Site; Intellectual Property

Subject to these Terms, JEKA grants you a limited, non-exclusive, non-transferable, revocable license to access the Site and to view, download, and print pages and materials from the Site for your own personal or internal informational purposes, including evaluating JEKA's products and services. You must keep intact all copyright and other proprietary notices on any copy you make.

You may not: (i) sell, rent, lease, license, sublicense, distribute, republish, or commercially exploit the Site or its content; (ii) modify or create derivative works from the Site or its content; (iii) frame or mirror any part of the Site; or (iv) use the Site or its content to build a similar or competing product, service, or website.

All intellectual property rights in the Site and its content — including text, graphics, logos, images, page designs, software, and their selection and arrangement — belong to JEKA or its licensors. © 2023–2026 JEKA Software, Inc. These Terms do not transfer any ownership rights to you, and all rights not expressly granted are reserved. If you send us feedback or suggestions about the Site or our products, you grant JEKA a perpetual, irrevocable, worldwide, non-exclusive, fully paid, royalty-free license to use that feedback for any purpose, without attribution or compensation.

3. Acceptable Use

You agree to use the Site only for lawful purposes. You may not use the Site:

  • to impersonate any person or entity, or to misrepresent your identity or affiliation;
  • to submit false, deceptive, or misleading information;
  • to send spam, chain letters, or other unsolicited communications;
  • to defame, abuse, harass, threaten, or otherwise violate the legal rights of others;
  • to upload or transmit viruses, malware, or any other harmful code;
  • to gain unauthorized access to the Site, other users' information, or any systems or networks connected to the Site;
  • to interfere with or disrupt the Site or the servers and networks that host it, including denial-of-service or distributed denial-of-service attacks;
  • to place an unreasonable or disproportionately large load on the Site's infrastructure;
  • to access the Site by means of robots, spiders, scrapers, or other automated tools, or to harvest or collect information about other users;
  • to systematically copy Site content, whether by automated means or manually, except as permitted by Section 2;
  • to circumvent or attempt to circumvent any access or use restriction on the Site; or
  • for any purpose that is unlawful or prohibited by these Terms.

We may investigate suspected violations and may suspend or block your access to the Site at any time, with or without notice, if we believe you have violated these Terms.

4. Privacy; Text Messaging

Your use of the Site is also subject to the JEKA Software Website Privacy Policy (the privacy policy posted on the Site), which is incorporated into these Terms by reference and describes the information we collect on the Site, how we use it, and the choices available to you. If you enroll in JEKA's text messaging program, the JEKA SMS Terms — including opt-in, STOP, and HELP mechanics — apply and are incorporated by reference. Wireless carriers are not liable for delayed or undelivered messages, and message and data rates may apply.

5. Copyright Infringement Claims (DMCA)

JEKA respects the intellectual property rights of others. If you believe that material on the Site infringes your copyright, send a written notice to our designated agent containing all of the following, consistent with 17 U.S.C. § 512:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim has been infringed;
  • identification of the material you claim is infringing and its location on the Site (a URL is the best way);
  • your name, postal address, telephone number, and email address;
  • a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law;
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf.

We may reject notices that do not include all required elements. Please note that under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material is infringing may be liable for damages. Upon receipt of a compliant notice, we will remove or disable access to the identified material as required by law.

6. Third-Party Websites

The Site may contain links to websites and services operated by third parties. Those links are provided for convenience only. JEKA does not control, endorse, or assume responsibility for any third-party website or service, its content, or its privacy practices. Your use of any third-party website or service is at your own risk and is governed by that third party's own terms and policies.

7. Availability; Errors and Inaccuracies

We work to keep the Site current, but the Site may contain typographical errors, inaccuracies, or omissions, including in product descriptions, availability, and pricing, and some information may be out of date. We reserve the right to correct any errors, inaccuracies, or omissions — including pricing errors — and to change or update information at any time without prior notice, including after you have submitted an inquiry or order. We may also modify, suspend, or discontinue the Site (or any part of it) at any time, with or without notice, and we have no obligation to provide support or maintenance for the Site.

8. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, JEKA AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. JEKA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ON THE SITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) JEKA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR COSTS OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF JEKA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) JEKA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE FEES ACTUALLY RECEIVED BY JEKA FROM YOU FOR USE OF THE SITE. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT ENLARGE THIS LIMIT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THIS SECTION SURVIVES ANY TERMINATION OF THESE TERMS. FOR CLARITY, THIS SECTION ADDRESSES THE SITE ONLY; LIABILITY TERMS FOR THE PLATFORM ARE STATED IN THE MYWATCHTOWER TERMS OF SERVICE & EULA.

10. Indemnification

You agree to defend, indemnify, and hold harmless JEKA and its officers, directors, employees, and agents from and against any claims, damages, and reasonable costs and attorneys' fees arising out of (i) your violation of these Terms, (ii) your violation of any applicable law or the rights of a third party, or (iii) any content or information you submit through the Site. We may assume control of the defense of any such claim, and you agree to cooperate with our defense and not to settle any such claim without our prior written consent.

11. Governing Law; Venue

These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods, the Uniform Commercial Code of any jurisdiction other than Florida, and Incoterms do not apply. You and JEKA irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts of competent jurisdiction located in Pasco County, Florida, for any such dispute, except that either party may seek injunctive or other equitable relief to enforce its intellectual property rights in any court of competent jurisdiction, and either party may bring an individual claim in small claims court where jurisdictionally proper.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on the Site and revise the version and effective date above; for material changes we may also provide a more prominent notice on the Site. Your continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

13. General

If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force. These Terms, together with the JEKA Software Website Privacy Policy, the JEKA SMS Terms, and any other policies referenced in them, are the entire agreement between you and JEKA regarding the Site. JEKA's failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without JEKA's prior written consent; JEKA may assign them freely, and these Terms bind permitted assignees. The word "including" means "including without limitation."
