TERMS OF SERVICE & END USER LICENSE AGREEMENT

These Terms of Service and End User License Agreement (this “Agreement”) are between JEKA Software, Inc., a Delaware corporation (“JEKA,” “we,” or “us”), and you. They govern your access to and use of the MyWatchtower platform, including its websites, kiosks, mobile applications, and related services (together, the “Platform”).
BY CLICKING “I ACCEPT,” CREATING AN ACCOUNT, OR USING THE PLATFORM, YOU AGREE TO THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
This Agreement has three parts. Part A applies to everyone. Part B adds terms for Communities and their Administrators. Part C adds terms for Residents.
PART A — TERMS FOR ALL USERS
A.1 Acceptance; Who May Use. You must be at least 18 years old and able to form a binding contract to accept this Agreement and hold an account. If you accept on behalf of an organization, you represent that you have authority to bind it (see Part B). The Platform is made available to you through your community, homeowners’ association, community development district, or property (your “Community”), which is JEKA’s customer directly or through an authorized integrator (the “Integrator”).
A.2 Key Terms. “Administrator” means a user the Community designates to manage its Platform account. “Resident” means a user affiliated with a home or unit in the Community. “Authorized User” means any person granted credentials for, or access to, the Platform. “Credentials” means any access method issued through the Platform, including QR codes, PINs, passes, cards, fobs, and mobile passes. “Kiosk” means a MyWatchtower entry kiosk. “Live Assist” means MyWatchtower Live Assist, JEKA’s live remote assistance and entry-processing service. “Facility Data” means data generated by or collected from the Community’s use of the Platform, including visitor, resident, credential, vehicle, and access records and entry recordings.
A.3 License. Subject to this Agreement, JEKA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, including the MyWatchtower mobile applications, solely for visitor management, access administration, and related community purposes. All rights not expressly granted are reserved by JEKA. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Platform, and you may not use JEKA’s names, marks, or logos without written permission.
A.4 Accounts and Credentials. You are responsible for the accuracy of your account information, for safeguarding your login, and for all activity under your account. Notify us promptly of any unauthorized use.
A.5 Responsibility for Access You Grant. If you issue or share Credentials — for a guest, vendor, family member, or anyone else — you are responsible for that person’s use of the access you granted, as if it were your own. Issue Credentials only for legitimate visits, and revoke them promptly when no longer needed or upon discovering misuse. The Community is likewise responsible for the Authorized Users it credentials (Part B). JEKA may suspend or revoke any individual’s Credentials or Platform access for misuse or violation of the Acceptable Use Policy, without liability, and doing so is not a breach of this Agreement.
A.6 Acceptable Use. JEKA’s Acceptable Use Policy (the “AUP”), available at portal.jekasoftware.com/policies/acceptable-use/, is part of this Agreement. In short: use the Platform lawfully and for its intended community purposes. Do not use the Platform, its Credentials, or its recordings and notifications to harass, embarrass, stalk, defame, or harm anyone; do not circumvent or interfere with access controls, Kiosks, cameras, or the service; do not harvest or scrape data; and do not access anything you are not authorized to access.
A.7 Recording Notice and Consent. Kiosks capture a photograph and a video clip on every entry; the clips do not include audio, and on-screen notice of recording is displayed at the Kiosk. Calls placed from a Kiosk to a Resident are live, two-way conversations and are not recorded. Live Assist sessions — where a Live Assist agent is requested through the Kiosk or assists with an entry, including any call the agent places to a Resident — may be recorded for quality assurance, training, and entry documentation, and an audible notice is played when a Live Assist session begins. BY REQUESTING OR PARTICIPATING IN A LIVE ASSIST SESSION AFTER THAT NOTICE, YOU CONSENT TO ITS RECORDING. Photographs, clips, and any Live Assist recordings are logged as part of the Community’s entry records and may be included in entry notifications delivered to relevant Residents and Administrators.
A.8 Use Limits on Recordings. Entry recordings, photographs, and vehicle records are provided for entry management, safety documentation, and community administration only. You may not redistribute, publish, or use them to harass, embarrass, defame, or harm any person. Misuse of recordings is a violation of Section A.5, Section A.6, and the AUP. Nothing in this Section limits JEKA’s own use of Facility Data to operate, secure, and improve the Platform and its features as described in Section B.2a and the incorporated privacy documents.
A.9 Communications; SMS. The Platform sends service communications, including entry notifications, by push notification, email, and text message. Text messaging is governed by JEKA’s SMS / Text Messaging Terms published at portal.jekasoftware.com/policies/sms-terms/, which are incorporated by reference; reply STOP to opt out of texts and HELP for help. Opting out of certain notifications may limit Platform functionality, including guest-arrival alerts.
A.10 No Security Services; Not an Insurer; Not an Emergency Service. JEKA is a technology provider, not a security, guard, or protection service. The Platform — including Kiosks, cameras, and Live Assist — facilitates visitor management and access administration; it does not and cannot guarantee the prevention of unauthorized entry, crime, property damage, or personal injury, and any system can fail or be circumvented. Live Assist offers remote assistance with entries by a live person, subject to operator availability; it is not a guard service. JEKA personnel, including Live Assist personnel, do not monitor camera feeds, recordings, or reports — Live Assist involvement occurs only when an entry session is initiated — and any live monitoring or gate staffing is performed by your Community or its own personnel or vendors. JEKA IS NOT AN INSURER OF ANY PERSON OR PROPERTY. THE PLATFORM AND LIVE ASSIST ARE NOT EMERGENCY SERVICES — IN AN EMERGENCY, CALL 911. You and your Community remain responsible for your own security decisions, precautions, and insurance. No product name, service name, or marketing description modifies this Section.
A.11 Service Dependencies; Non-JEKA Components. The Platform depends on things JEKA does not provide, including site electrical power, internet and telecommunications service, site networks, wiring, gate hardware and operators, mounting structures, and third-party devices (“Non-JEKA Components”), and on third-party access-control and video platforms with which it interoperates, such as Brivo, HID, and Eagle Eye Networks (“Third-Party Platforms”). Features may be limited, interrupted, or unavailable when Non-JEKA Components or Third-Party Platforms fail, change, or lapse, and JEKA is not responsible for those failures. Third-Party Platforms are governed by their own terms.
A.12 Privacy. JEKA’s Privacy Policy at portal.jekasoftware.com/policies/site-privacy/, together with the MyWatchtower Platform Privacy Notice at portal.jekasoftware.com/policies/privacy-notice/, describes what we collect — including entry photographs, video clips, any Live Assist recordings, and vehicle license plate data — and how we use, share, and retain it. Both are incorporated into this Agreement. As between JEKA and the Community, the Community owns its Facility Data, and JEKA processes it to provide, secure, and improve the Platform, as described in Section B.2a.
A.13 Mobile Applications; App Stores. The mobile applications are licensed, not sold. If you download an application from Apple’s App Store: this Agreement is between you and JEKA only, not Apple; Apple has no obligation to provide maintenance or support; Apple is not responsible for any product claims, third-party intellectual-property claims, or legal compliance relating to the application; and Apple and its subsidiaries are third-party beneficiaries of this Section with the right to enforce it. You represent that you are not located in an embargoed country and are not on any U.S. government restricted-party list. Equivalent terms apply to applications obtained through Google Play.
A.14 Changes to the Platform and this Agreement. JEKA may update the Platform, and may update this Agreement, the AUP, and the incorporated policies from time to time. For material changes, we will provide notice through the Platform or by email, as reflected in JEKA’s records. Your continued use after the effective date of an update constitutes acceptance.
A.15 Suspension; Termination. Your access ends when your Community’s subscription ends, when the Community removes you, or when JEKA suspends or terminates your access for violation of this Agreement or the AUP. Sections A.7, A.8, A.10 through A.12, and A.16 through A.19 survive.
A.16 Disclaimer of Warranties. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JEKA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
A.17 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) JEKA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA; (b) JEKA IS NOT LIABLE FOR NON-JEKA COMPONENTS, THIRD-PARTY PLATFORMS, OR THE CRIMINAL OR INTENTIONAL ACTS OF ANY THIRD PARTY, INCLUDING SECURITY INCIDENTS AT ANY COMMUNITY; AND (c) JEKA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS (US $100) OR THE AMOUNTS YOU PAID JEKA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.
A.18 Indemnity. You will indemnify and hold harmless JEKA from claims arising out of your misuse of the Platform, your violation of this Agreement or the AUP, your misuse of recordings or Facility Data, or Credentials you issued, except to the extent caused by JEKA’s own misconduct.
A.19 Governing Law; Venue; Disputes. This Agreement is governed by Florida law, without regard to conflicts-of-laws rules. Exclusive venue for any dispute is the state courts located in Pasco County, Florida, or, where federal jurisdiction exists, the United States District Court for the Middle District of Florida, Tampa Division.
A.20 General. This Agreement, together with the AUP and the incorporated policies, is the entire agreement between you and JEKA regarding the Platform. If any provision is unenforceable, the rest remains in effect. JEKA may assign this Agreement to an affiliate or successor. PART B — ADDITIONAL TERMS FOR COMMUNITIES AND ADMINISTRATORS
B.1 Binding the Community. The first Administrator to accept this Agreement on behalf of a Community represents that they have authority to bind it, and this Agreement then binds the Community as a party. Each subsequent Administrator accepts individually and on the Community’s behalf.
B.2 Facility Data; Retention; Export. The Community owns its Facility Data. JEKA processes Facility Data to provide the Platform, in accordance with the incorporated privacy documents. Entry records and recordings are retained for 24 months unless the Community configures or requests otherwise or law requires different treatment; deletion after that period occurs on JEKA’s periodic deletion cycles or upon the Community’s verified request. Upon termination of the Community’s subscription, JEKA will provide exports of the Community’s Facility Data, in commercially reasonable tools and formats, upon the Community’s written request made within 30 days after termination, after which JEKA may delete it in the ordinary course.
B.2a Improvement of the Platform; AI Features. The Community grants JEKA a non-exclusive, worldwide, royalty-free, sublicensable (to JEKA’s service providers) license to use Facility Data — including entry recordings, photographs, vehicle records, and access records — to operate, secure, maintain, analyze, develop, train, and improve the Platform and its features, including JEKA’s artificial-intelligence and machine-learning features for entry and visitor processing. JEKA handles Facility Data used for these purposes under the confidentiality and security obligations of this Agreement and the incorporated privacy documents; JEKA does not sell Facility Data and does not disclose raw Facility Data except to service providers bound by written obligations to protect it, as identified in the incorporated privacy documents, or as this Agreement otherwise permits. This license is a term of the Community’s use of the Platform. The models, algorithms, software improvements, and aggregated or derived insights that JEKA develops are and remain JEKA’s property; nothing in this Section transfers ownership of the Community’s underlying Facility Data, which the Community continues to own under Section B.2. Upon termination, JEKA’s retention and deletion of the Community’s Facility Data are as provided in Section B.2, but models, improvements, and learnings already developed are not required to be unwound, and JEKA’s rights in them survive.
B.3 Third-Party Platform Authorization. Where the Community’s deployment uses a Third-Party Platform (for example, Brivo or HID access control, or Eagle Eye Networks video), the Community authorizes JEKA to access and interoperate with the Community’s accounts and services on those platforms to provide the Platform, and will maintain — directly or through its Integrator — the subscriptions, licenses, and API access required. Fees for Third-Party Platforms are not included in JEKA’s charges. Dependent features function only while those services and JEKA’s authorized access remain active.
B.4 Administrators and Authorized Users. The Community is responsible for designating its Administrators, for credentialing its Authorized Users and Residents, and for their acts and omissions in the Platform as if they were its own. The Community will keep its access rules, rosters, and unit records current — entry decisions, including Live Assist processing, follow the rules the Community configures — and will promptly revoke access upon discovering misuse.
B.5 Recording Disclosures. JEKA provides on-screen recording notice at each Kiosk. The Community is responsible for any additional signage, disclosures, or resident notices required by applicable law for video recording at its property or for any recorded Live Assist call, and for the lawful configuration of its access rules.
B.6 Service Through an Integrator. Where the Community purchases through an authorized Integrator, the Integrator is responsible for hardware, installation, on-site field support, and billing the Community. JEKA provides the Platform, direct user support for account and usage matters, and platform support. JEKA may communicate with the Community directly for support, notices, and service continuity.
B.7 Community Payment Failure; Continuity. If the Community’s subscription lapses or its Integrator relationship ends, JEKA may contact the Community directly to arrange continued service so that access systems are not interrupted.
PART C — ADDITIONAL TERMS FOR RESIDENTS
C.1 Your Household and Guests. You may manage users and Credentials for your own home or unit as your Community allows. Section A.5 applies to every Credential you issue: you answer for the access you grant.
C.2 Entry Notifications. Entry notifications you receive may include photographs and recordings. Section A.8 applies — they are for your entry-management use, not for redistribution or to harm anyone.
C.3 Moving Out. Your access ends when your Community removes you or your unit association changes. Data collected during your residency is handled per the incorporated privacy documents.
ACCEPTANCE. This Agreement is accepted electronically by clicking “I Accept” at first login. JEKA logs the accepting account, timestamp, and Agreement version.
